Digital Product & Software License Agreement (EULA)

Please read this Digital Product & Software License Agreement (“Agreement”) carefully before purchasing, downloading, accessing, or using any digital product, calculator suite, software, template, vault content, downloadable resource, browser-based tool, educational system, or proprietary material provided by The Artist Ledger LLC (“Company,” “we,” “us,” or “our”).

By purchasing, downloading, accessing, or using any digital product or software provided by The Artist Ledger LLC, you acknowledge that you have read, understood, and agreed to be legally bound by this Agreement.

1. LICENSE GRANT

The Artist Ledger LLC grants you a limited, revocable, non-exclusive, non-transferable license to access and use purchased digital products and software solely for your own internal business use.

This license does not transfer ownership of any intellectual property, software, framework, methodology, or proprietary system to you.

All rights not expressly granted remain the exclusive property of The Artist Ledger LLC.

2. NO FIDUCIARY OR PROFESSIONAL RELATIONSHIP

Your use of the Software, calculators, templates, vault content, financial models, methodologies, downloads, and related materials does not create any fiduciary, CPA-client, accounting, tax advisor, financial advisor, legal advisor, partnership, employment, agency, or other professional relationship between You and The Artist Ledger LLC.

The Software and Materials are provided for educational, operational planning, and informational purposes only.

You remain solely responsible for all business, pricing, accounting, legal, tax, operational, licensing, labeling, compliance, and financial decisions related to Your business.

3. PRODUCTS COVERED BY THIS AGREEMENT

This Agreement applies to all digital products and software provided by The Artist Ledger LLC, including but not limited to:

Calculator suites
Browser-based tools
Financial systems
Pricing systems
Revenue allocation tools
Operational systems
Templates
Worksheets
Vault content
Downloadable files
PDFs
Educational resources
Spreadsheets
Swipe files
Digital classes and recordings
Future digital products and software systems

4. PERMITTED USE

You may:

Use purchased products within your own business operations
Download files during the provided access period
Print materials for your own internal business use
Customize templates for your own business use where applicable

5. PROHIBITED USES

You may not:

Share login credentials or vault access
Redistribute purchased files
Upload products to shared drives, marketplaces, or public platforms
Resell, sublicense, lease, or transfer products
Share products with clients, coworkers, teams, communities, or third parties unless explicitly authorized in writing
Copy or reproduce products for commercial distribution
Create competing products, courses, software, templates, or systems derived from our materials
Reverse engineer, deconstruct, or replicate calculator logic, workflows, systems, or software functionality
Remove copyright notices or ownership markings
Use our products to train AI systems, datasets, automated tools, or competing commercial systems
Represent our methodologies, systems, or frameworks as your own

Unauthorized use constitutes a material violation of this Agreement and may result in immediate termination of access, revocation of licenses, legal action, and financial damages.

6. INTELLECTUAL PROPERTY RIGHTS

All digital products, software, systems, frameworks, methodologies, workflows, educational materials, branding, calculator logic, operational structures, designs, graphics, text, templates, downloads, recordings, and related materials are the exclusive intellectual property of The Artist Ledger LLC.

This includes all:

Pricing methodologies
Revenue allocation systems
Operational workflows
Financial frameworks
Calculator logic
Vault systems
Educational structures
Business systems
Naming systems
Proprietary terminology
Product architecture
User interfaces
Written content
Visual assets

Purchase or access does not grant ownership rights of any kind.

7. DIGITAL ACCESS PERIOD

Unless otherwise stated at purchase:

Digital access expires thirty (30) days after purchase or delivery
Users are responsible for downloading and retaining purchased files during the access period
The Artist Ledger LLC is not obligated to provide indefinite access, re-downloads, replacements, or permanent hosting

Failure to download materials within the access period does not create an obligation for The Artist Ledger LLC to restore access.

8. CONTENT VAULT & MEMBERSHIP ACCESS

For vaults, memberships, resource libraries, or subscription-based access:

Access is licensed to a single user only
Account sharing is prohibited
Downloaded materials remain subject to this Agreement even after membership termination
Access may be suspended or revoked for unauthorized sharing, misuse, redistribution, or violation of these terms

We reserve the right to monitor reasonable usage patterns to protect proprietary materials and prevent abuse.

9. NO GUARANTEE OF RESULTS

The Artist Ledger LLC does not guarantee:

profitability,
revenue growth,
business success,
operational efficiency,
pricing success,
customer growth,
tax outcomes,
or financial results

All products and systems are provided for educational and operational support purposes only.

Business results depend on numerous factors outside our control, including implementation, labor, market conditions, customer demand, operating costs, and business decision-making.

10. SOFTWARE & TECHNICAL DISCLAIMER

Digital products and software are provided “as is” and “as available.”

We do not guarantee that:

products will be uninterrupted,
files will remain compatible with all software or browsers,
systems will be error-free,
or access will remain continuously available.

The Artist Ledger LLC is not responsible for:

browser incompatibility,
third-party platform failures,
hosting interruptions,
corrupted downloads caused after delivery,
user technical limitations,
or software conflicts outside our control.

11. REFUNDS

Due to the digital nature of our products, all sales are final.

No refunds will be issued once:

access has been granted,
files have been delivered,
software has been accessed,
or downloads have been made available.

Unauthorized chargebacks or payment disputes may result in immediate termination of access and revocation of all licenses granted under this Agreement.

12. TERMINATION OF LICENSE

The Artist Ledger LLC reserves the right to revoke access and terminate licenses immediately for violations of this Agreement.

Upon termination:

all licenses immediately end,
access rights terminate,
and continued use becomes unauthorized.

We reserve all rights to pursue legal remedies for intellectual property infringement, unauthorized distribution, misuse, or commercial exploitation.

13. LIMITATION OF LIABILITY

To the fullest extent permitted by law, The Artist Ledger LLC shall not be liable for:

indirect damages,
consequential damages,
lost profits,
lost revenue,
business interruption,
operational losses,
data loss,
or damages arising from the use or inability to use our products or software.

Our total liability shall not exceed the amount paid for the specific product giving rise to the claim.

14. GOVERNING LAW

This Agreement shall be governed by and interpreted in accordance with the laws of the State of Michigan.

Any legal disputes arising from this Agreement shall be brought exclusively in the appropriate courts located within Michigan.

15. MODIFICATIONS

We reserve the right to modify or update this Agreement at any time.

Updated versions become effective immediately upon posting unless otherwise stated.

Continued use of products or services following updates constitutes acceptance of the revised Agreement.

17. ACKNOWLEDGMENT

By purchasing, downloading, accessing, or using any digital product, software, vault content, calculator suite, or proprietary system from The Artist Ledger LLC, you acknowledge that:

you have read and understood this Agreement,
you agree to be legally bound by it,
you are at least 18 years old,
and you understand that all products are licensed, not sold.
